1. OVERVIEW

This website and mobile application (“Service”) are operated by:

(“Flory”, “we”, “us”, “our”).

By accessing, registering, or placing an order, you agree to these Terms & Conditions.

These Terms are governed by the laws of the Kingdom of Saudi Arabia.


2. B2B PROFESSIONAL PLATFORM

Flory operates exclusively as a Business-to-Business (B2B) platform.

  • Access is limited to approved professional customers.

  • Accounts are manually approved based on commercial profile.

  • By ordering, you confirm purchases are for business purposes only.

  • Consumer protection rules applicable to retail consumers do not apply.

Flory may approve, reject, suspend, or terminate accounts at its sole discretion.


3. NATURE OF PRODUCTS

All products are fresh flowers and highly perishable agricultural goods.

Natural variations in color, bloom stage, size, thickness, or seasonal characteristics do not constitute defects.


4. PRICING, PAYMENT & CREDIT TERMS

Prices are subject to change without notice.

Payment terms are as agreed with the assigned Sales Representative.

Flory reserves the right to:

  • Require prepayment.

  • Modify credit terms.

  • Suspend deliveries for overdue invoices.

Customer may not withhold, deduct, or set off payment due to disputes unless expressly agreed in writing by Flory.

All prices are exclusive of VAT unless stated otherwise. VAT shall be applied in accordance with Saudi law.

Customer agrees not to initiate unjustified chargebacks or payment disputes. Fraudulent disputes may result in recovery action and account termination.


5. TRANSFER OF RISK & TITLE

Risk of loss or damage transfers to the customer upon delivery and acceptance of the goods.

Legal title (ownership) transfers only upon full payment of all amounts due.

Until full payment is received, Flory retains ownership of the goods.


6. CANCELLATIONS

Customer may cancel orders only prior to dispatch.

Once dispatched, cancellation is not permitted.

Flory reserves the right to cancel any order at any time.


DELIVERY, INSPECTION & RETURNS POLICY

7. DELIVERY & MANDATORY INSPECTION

All goods must be inspected immediately upon delivery.

Claims regarding:

  • Damage

  • Wilted goods

  • Non-compliance

  • Wrong items

  • Missing stems or quantities

must be raised at the time of delivery.

If delivery is accepted or proof of delivery is signed without rejection:

  • Goods are deemed fully compliant.

  • Goods are considered accepted in full.

  • No visible defect claims will be accepted thereafter.

Failure to reject at delivery constitutes final acceptance.


8. RETURNS

Returns are permitted only if:

  • The product is rejected at delivery.

  • The product remains in original packaging.

  • Photographic evidence is provided.

  • The rejected goods are returned immediately with the delivery driver.

Post-delivery returns are not accepted.


9. LATENT DEFECTS

Flory is not responsible for product condition after acceptance.

If a latent internal defect not visible at delivery is discovered, customer must notify Flory within 24 hours and provide photographic evidence.

Flory reserves the right to assess the materiality of the defect and determine eligibility for compensation.


10. REFUNDS

If a claim is approved:

  • Refunds will be issued via original online payment method or store credit.

  • Refund applies to the full bunch even if one stem is defective.

  • Delivery fees are strictly non-refundable.

No compensation shall be provided for:

  • Loss of profit

  • Resale losses

  • Business interruption

  • Indirect or consequential damages

Total liability shall not exceed the invoiced value of the affected product.


11. STORAGE & HANDLING RESPONSIBILITY

Upon acceptance of delivery:

  • Customer assumes full responsibility for storage and handling.

  • Flowers must be maintained under proper refrigeration and professional care.

Flory is not responsible for deterioration caused by:

  • Improper refrigeration

  • Inadequate hydration

  • Improper conditioning

  • Exposure to heat or sunlight

  • Improper post-delivery transport


12. LATE DELIVERY

No refunds, credits, or compensation shall be issued for late deliveries.

Delivery fees remain non-refundable.


13. CLAIMS PROCEDURE

Claims must be submitted via:

  • Official Customer Service WhatsApp channel, or

  • Assigned Sales Representative.

Flory will respond within 24 hours.

Failure to follow official procedure may result in claim rejection.


14. PROFESSIONAL COMPLIANCE

Customer confirms that it:

  • Holds a valid commercial registration.

  • Operates in compliance with Saudi regulations.

  • Maintains appropriate facilities for storing and reselling fresh flowers.

Flory is not responsible for regulatory violations by the customer.


15. REPEATED CLAIMS & TERMINATION

If excessive or repetitive claims occur, Flory reserves the right to:

  • Investigate account activity.

  • Limit claim privileges.

  • Suspend or terminate the account.

All termination decisions are final and at Flory’s discretion.


16. LIMITATION OF LIABILITY

All products and Services are provided “as is”.

Flory shall not be liable for:

  • Indirect or consequential damages

  • Loss of revenue or profit

  • Business interruption

  • Deterioration after acceptance

Maximum liability shall not exceed the invoiced value of the relevant goods.


17. FORCE MAJEURE

Flory shall not be liable for delay, suspension, or cancellation caused by events beyond reasonable control, including but not limited to:

  • Acts of God

  • Extreme weather

  • Transport disruptions

  • Customs delays

  • Government restrictions

  • Labor disputes

  • Supply chain interruptions

  • Power outages

  • Public health emergencies

Flory may suspend, modify, or cancel orders without liability in such cases.


18. DATA PROTECTION

Flory processes customer data solely for account management, order processing, and commercial communication.

Flory does not sell customer data.

Data is processed in accordance with applicable Saudi regulations.


19. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions remain valid and enforceable.


20. AMENDMENTS

Flory reserves the right to modify these Terms at any time.

Continued use of the Service after updated Terms are published constitutes acceptance.


21. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Kingdom of Saudi Arabia.

The competent courts of Jeddah, Saudi Arabia shall have exclusive jurisdiction over any dispute.
